Terms & Conditions (Service Terms)

These Terms & Conditions ("Terms") govern access to and use of the PPCJuice website and any marketing services provided by OmniPro LTD (C 106467), registered at Triq La Sengle 2, Marsaskala MSK 1202, Malta ("PPCJuice", "we", "us", "our"). PPCJuice is a trading name/brand operated by OmniPro LTD.

By purchasing services, signing an order, or engaging us to perform work, you ("Client", "you", "your") agree to these Terms. If a written agreement (MSA/IO/SOW) is signed, that agreement controls where it conflicts with these Terms.

1) What We Are (And What We Are Not)

  • 1.1 Marketing services provider. We provide performance marketing services (e.g., Google Ads management and related measurement support).
  • 1.2 Not a gambling operator. We do not operate a casino/sportsbook and do not accept wagers.
  • 1.3 No legal/compliance advice. We do not provide legal, regulatory, licensing, tax, or compliance advice. You are responsible for ensuring your marketing activities comply with applicable laws, advertising rules, licensing requirements, and platform policies.
  • 1.4 No guaranteed results. We do not guarantee CPA, FTD volume, deposits, revenue, ROAS, approvals, or any specific outcome. Performance depends on market conditions, competition, offer quality, tracking, landing pages, and third-party platforms.

2) Definitions

  • "Ad Accounts" means Google Ads accounts (and any other paid media accounts) worked on during the engagement.
  • "Services" means Audit, PPC Management, and any additional work agreed in writing.
  • "Quoted Scope" means the fees, channels, markets, account coverage, and operating scope agreed in writing for the engagement.
  • "Deliverables" means outputs we provide (e.g., findings, action priorities, account changes, reporting, call notes), as described per service.

3) Scope of Services

3.1 PPC Audit (One-Time)

A one-time diagnostic focused on structure, targeting, tracking, and commercial blockers across the paid acquisition setup in scope. Typical deliverables include:

  • Full review of structure, campaigns, and spend flow
  • Targeting review across queries, match types, and waste
  • Tracking check for FTD, CPA, ROAS, and key value signals
  • Ad and landing-path review to spot friction and drop-off
  • Prioritised action plan to cut waste and unlock scale

Important: An Audit is a diagnostic review and action plan. It does not include implementation, a full account rebuild, or ongoing management unless explicitly agreed in writing.

3.2 PPC Management (Ongoing)

Ongoing PPC support for operators that want senior oversight, execution support, or full account ownership depending on the quoted scope. Typical deliverables include:

  • Senior PPC direction, execution, and weekly reporting
  • Strategy, testing priorities, and account changes tied to commercial goals
  • Control across ads, budgets, bidding, and landing-path decisions where agreed
  • Support across Google Ads, Bing Ads, YouTube Ads, Display, app acquisition, and measurement where included in scope
  • Direct access to the people running performance

3.3 What's Not Included Unless Agreed

Unless explicitly included in a written scope, Services do not include:

  • Web or landing-page development, design, or CRO implementation (beyond recommendations)
  • Creative production (video/UGC), translation/localisation
  • Legal, licensing, compliance approvals, or regulator communications
  • CRM lifecycle, email, push, or on-site product changes
  • Any work that requires platform, data, or account access you do not provide

4) Client Responsibilities

  • 4.1 Access & approvals. You must provide timely access to Ad Accounts, analytics/tracking, feeds (if relevant), and approve changes promptly. Delays in access/approval may delay performance improvements.
  • 4.2 Licensing & compliance. You confirm you hold required licenses and rights to advertise in your target markets and are responsible for compliance with platform and regulatory requirements.
  • 4.3 Accuracy. You are responsible for the accuracy of conversion definitions, value rules, postback/CRM reporting, and any data you provide.
  • 4.4 No policy evasion. You agree not to request or instruct us to mislead users, evade policy enforcement, or run prohibited advertising.

5) Fees, Billing, and Taxes

5.1 Fees

Fees are quoted based on the agreed scope or otherwise confirmed in writing. Fees are exclusive of VAT/sales taxes unless stated otherwise.

5.2 Audit Fee & Credit

  • Audit fees are quoted based on account depth, markets, tracking setup, and the agreed review scope.
  • Audit fees are normally paid upfront to book and start the Audit unless otherwise agreed in writing.
  • If you engage PPCJuice for ongoing management within 30 days of the Audit completion date, all or part of the Audit fee may be credited against your first management invoice if confirmed in writing.

5.3 Ongoing Billing

Ongoing management is billed monthly in advance (net terms as stated on invoice; default is due upon receipt unless otherwise agreed in writing).

5.4 Scope Changes and Requotes

Pricing is scoped around the setup agreed in writing. If scope expands by brands, markets, accounts, channels, languages, spend complexity, or execution depth, pricing may be revised.

  • Additional work outside the quoted scope may be billed separately or moved into a revised monthly scope.
  • Any revised fees or scope changes will be confirmed in writing before the additional work starts where reasonably possible.

5.5 Late Payments

If invoices become overdue, we may pause work and/or revoke access to deliverables until payment is received.

6) Term, Cancellation, and Pauses

  • 6.1 Audit engagements are one-off scopes and normally end on delivery unless follow-on work is agreed in writing.
  • 6.2 Ongoing management may be cancelled by either party with 30 days' written notice unless a different term is agreed in writing.
  • 6.3 Suspension: We may pause or terminate services immediately for non-payment, fraud, illegal activity, or instructions that would violate platform rules or applicable law.

7) Ad Account Ownership, Assets, and Access

  • 7.1 Your accounts. You retain ownership of your Ad Accounts. We typically request admin access to manage them.
  • 7.2 Assets created. Unless otherwise agreed, you own the ads/copy/structures created specifically for your accounts once paid for. PPCJuice retains rights to our internal templates, methodologies, and reusable frameworks.
  • 7.3 Third-party tools. If we recommend tools (tracking, landing, analytics), your relationship with those providers is separate and governed by their terms.

8) Confidentiality

Both parties agree to keep non-public business, commercial, and technical information confidential and use it only to perform the Services. This does not apply to information that is public or independently developed.

9) Disclaimers

  • 9.1 Platform dependency. Google and other platforms may change policies, auctions, approvals, or reporting. We are not responsible for platform changes outside our control.
  • 9.2 No results guarantee. We don't promise performance outcomes; we commit to process, execution quality, and transparency.

10) Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect or consequential damages (lost profits, lost revenue, goodwill, etc.).
  • Our total liability for claims related to Services is capped at the fees paid by you to us in the 3 months immediately preceding the event giving rise to the claim.

11) Indemnification

You agree to indemnify and hold harmless PPCJuice/OmniPro LTD and our contractors for claims arising from:

  • your products/offers, licensing status, or compliance failures,
  • your creatives/claims/landing pages,
  • your breach of platform rules or applicable law.

12) Governing Law and Jurisdiction

These Terms are governed by the laws of Malta, and disputes are subject to the exclusive jurisdiction of the courts of Malta, to the extent permitted by law.

13) Changes to These Terms

We may update these Terms from time to time. Continued use of our Services after updates become effective constitutes acceptance.
